WP Xpress Service Agreement
This Website Service Agreement between ‘Client Company’ and WPXpress.com.au. (“Company”) Your company may be referred to as “you or your” and our company may be referred to as “we, us or I.”
PURPOSE OF THIS PLAN
Our Service Agreement are designed to maintain your website’s optimization, security, and performance while it’s live on the internet. We also offer ongoing support as your dedicated “Go-To Webmaster” for any content changes, adjustments, or additions included in the services detailed in the monthly care plan specified at the beginning of this agreement.
SCOPE OF SERVICE
The scope of service month to month is agreed upon by the monthly plan you choose. Please refer back to www.wpxpress.com.au/wordpress-support-and-care-plans which states the details of each plan’s tier and scope of services.
If WP Xpress are building or updating a website for you, then we are required to define the ‘Scope of Work’ between WP Xpress and our client. This will either take place with a form to be completed or a discussion with one of our customer support team. Please note that any work for website design and build will not occur until the ‘Scope of Work’ has been defined and accepted between WP Xpress and our client.
COST/PAYMENTS
The cost of our monthly Website Care Plan is dependent on the plan you choose for your website(s). Additional sites may be added, at any time, for a discounted fee for multiple sites. Don’t hesitate to get in touch with us to inquire about adding multiple sites.
Payments are collected either monthly or annually via an automatic, recurring credit card charge during the date you signed up for the plan.
Special arrangements for larger instalments, or other payment methods can be arranged. Please contact us directly at [email protected] for more options.
SERVICE TIMELINE
We strive to complete website updates within 24-48 hours, Monday through Friday, as part of your plan’s included services. If, for any reason, additional time is needed or if the scope of work extends beyond the mentioned time frame, we will promptly notify you of the revised timeline.
WHAT TO EXPECT WHEN SIGNING UP
When your website is activated to one of our Care Plans and all services highlighted within that Care Plan are immediately in place and once live you will be notified accordingly. In addition, we will check in with a monthly report of your website’s traffic, basic analytics and an overview of all the services completed for that month. All reports are sent within the first week of the month.
ADDITIONAL WORK OUTSIDE THE WORK SCOPE OF YOUR MONTHLY PLAN
When you choose a care plan that offers dedicated support time per month, this time covers updates, changes, tweaks or basic add-ons to your current website. Additional work on your website for advanced functionality, design, new pages, SEO, forms, additional sites or anything else outside the agreed scope of work can be completed with a separate proposal or retainer of hours.
CONFIDENTIALITY
Your information is of paramount importance to us. It is 100% confidential, protected, fiercely guarded and kept safe. All website details, logins, analytics and any active revenue numbers, etc. that are displayed internally via your website will never be shared by WPXpress.com.au.
COMMUNICATION
By agreeing to the Care Plan Terms and Conditions, you also agree to the communication boundaries for requesting website updates and any consultation calls as outlined in the Care Plan selected.
ONE POINT OF CONTACT
To ensure efficient and effective service we require ONE main point of contact for all ongoing support, updates and website communication. If more than one contact is involved on the client side of the Care Plan or if you have a new point of contact at any point, this must be disclosed.
Additionally, we will disclose our point of contact for any website updates and general website inquiries upon commencement.
WEBSITE SECURITY
We take rigorous measures to safeguard your website’s security. However, it’s important to note that no website can be entirely immune to potential breaches, malware, or hacks, given the dynamic nature of technology, servers, and the internet. In the unlikely event of a security compromise, we are committed to promptly addressing the situation. Our response includes immediate mitigation of the breach, thorough assessment, and the restoration of your website. Additionally, we will manage any Google blacklisting issues, all of which are provided at no additional cost to you. Your website’s security is our priority.
CANCELLATION OF CARE PLAN OR HOSTING PLAN
If you decide to end your current Care Plan, you’re welcome to do so and once any outstanding payments are finalized, we will make sure you have full control of your website, logins and any domain information needed that’s associated with your account. There is no intellectual property or website data retained by WPXpress.com.au.
Please note that paid plugins and elements for websites that are built are included in our plans, however, if you choose to cancel with us, you will need to purchase licenses that are required to maintain the plugins and elements as they will no longer be under our license agreement.
We only ask that you kindly complete our Offboarding Process Form so the transition of services is effortless and smooth.
The financial commitment is maintained through to the end of your current billing period (either month or year).
Note: If moving from our hosting, there is a hosting termination fee (billed at our hourly rate) if we need to assist with the transition and move to a different hosting provider.
CANCELLATION OF CARE PLAN AND/OR HOSTING AGREEMENT LIABILITY CLAUSE
1. Cancellation Policy
The customer acknowledges and agrees that any care plan and hosting agreement entered into with WPXpress.com.au (“Company”) is subject to the terms and conditions outlined herein, and at the time of sign-off, including the provisions regarding cancellation.
Cancellation of a care plan or hosting agreement by the customer shall be governed by the terms specified in the agreement and the Company’s cancellation policy in effect at the time of cancellation.
2. Customer’s Liability
In the event the customer chooses to forego or cancel a care plan and hosting agreement before the agreed-upon contract term has elapsed, the customer shall be liable for the following:
Payment of any outstanding fees or charges incurred up to the date of cancellation, including but not limited to hosting fees, maintenance fees, and any additional services provided by the Company.
Payment of any applicable cancellation fees as specified in the care plan and hosting agreement.
The customer understands that the Company may retain any pre-paid fees or deposits as liquidated damages, to cover administrative and infrastructure costs associated with the agreement, and to compensate for potential revenue loss resulting from the cancellation.
3. Data and Content
Upon cancellation of a care plan and hosting agreement, the customer is responsible for retrieving all data, content, and materials hosted on the Company’s servers. The Company shall not be liable for any loss, damage, or corruption of data or content following cancellation.
4. Disclaimer of Liability
The customer acknowledges and agrees that the Company shall not be liable for any direct, indirect, consequential, or incidental damages arising from the customer’s decision to forego or cancel a hosting and maintenance agreement. This includes but is not limited to, loss of profits, loss of data, or interruption of business operations.
5. Governing Law
This liability clause and any disputes arising from the cancellation of a hosting and maintenance agreement shall be governed by and construed under the laws of Australia, without regard to its conflict of law principles.
NOTICE OF THIRD-PARTY SOFTWARE
We prioritise the security of your payment information and personal/company data. It’s essential to note that we utilise third-party software providers for payment processing, website hosting, and optimisation. While these providers are beyond our direct control, we exclusively collaborate with the most reputable and trusted names in the industry. We entrust our own information to these tools with the same confidence we place in them for your data security.
‘Client Company’ and WPXpress.com.au agree to the contractual stipulations above and will make every effort to fulfil our obligations to ensure the best results possible for the website.
